1. Acceptance of Terms

By accessing and using MightyWatcher ("Service"), you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to these Terms of Use, please do not use our Service.

2. Description of Service

MightyWatcher provides a web-based platform that allows users to monitor publicly accessible webpages for changes and conditions. The Service includes:

  • URL monitoring and scheduling tools
  • Automated webpage scraping and screenshot capture
  • AI-powered analysis of page content against user-defined conditions
  • Notification delivery when conditions are met
  • Dashboard for managing watchers and reviewing check history
  • Storage of scraped content and screenshots

3. User Accounts

You must be at least 13 years of age to use the Service. If you are under the age of majority in your jurisdiction, you may only use the Service with the consent and supervision of a parent or legal guardian who agrees to be bound by these Terms. By using the Service, you represent that you meet these requirements.

To use certain features of the Service, you must register for an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and update your information to keep it accurate and current
  • Maintain the security of your password and account
  • Accept responsibility for all activities under your account
  • Notify us immediately of any unauthorized use of your account

4. Credits System and Billing

MightyWatcher operates on a credits-based system. Credits are consumed by the following activities:

  • Page checks: Credits are consumed each time a watcher checks a webpage, with costs varying based on AI token usage (typically 5-20 credits per check)
  • Screenshots: Full-page screenshots are captured with each check and included in the per-check credit cost
  • AI analysis: AI evaluation of your watch condition is included in the per-check credit cost

Additional billing terms:

  • Subscription plans include monthly credits that reset each billing cycle
  • Top-up credit packs can be purchased through our payment processor (Stripe) and never expire
  • Subscription payments are recurring and can be cancelled at any time
  • All purchases are final and non-refundable unless required by law
  • You are responsible for monitoring your credit balance
  • Watchers may stop checking if your credit balance reaches zero
  • We may change credit costs, consumption rates, or plan features with reasonable notice

5. AI Features

The Service uses AI to analyze webpage content against your watch conditions. When using these features:

  • Scraped webpage content, your watch condition, and page context are sent to third-party AI service providers for processing
  • AI-generated analysis results are provided as-is — you are responsible for verifying any conclusions or summaries
  • We do not guarantee the accuracy, completeness, or reliability of AI-generated analysis
  • AI analysis may contain errors, false positives, or false negatives
  • You are solely responsible for acting on or disregarding AI-generated results
  • AI-generated content does not constitute professional advice of any kind, including but not limited to legal, medical, financial, tax, or compliance advice
  • You are solely responsible for ensuring that your use of the Service and any actions you take based on its output comply with all applicable laws and regulations

6. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable laws or regulations
  • Monitor webpages you are not authorized to access
  • Circumvent access controls, CAPTCHAs, or rate limiting on third-party websites
  • Collect personal data from webpages in violation of privacy laws
  • Engage in competitive scraping or data harvesting at scale
  • Attempt to gain unauthorized access to our systems
  • Interfere with or disrupt the Service or servers
  • Use the Service for fraudulent purposes
  • Scrape, copy, or duplicate our Service or content
  • Resell or redistribute the Service without authorization

7. Content Ownership and License

Your Content: You retain all rights to the watch conditions and configurations you create. By using the Service, you grant MightyWatcher a worldwide, non-exclusive, royalty-free license to use, store, and process your configurations solely for the purpose of providing the Service.

Scraped Content: The webpage content and screenshots collected by the Service remain the intellectual property of the respective webpage owners. MightyWatcher stores this content solely to provide the monitoring service to you. You are responsible for ensuring your monitoring activities do not infringe on third-party rights.

Our Content: The Service, including its design, features, and functionality, is owned by MightyWatcher and protected by copyright, trademark, and other intellectual property laws.

8. Third-Party Websites

The Service monitors third-party websites on your behalf. You acknowledge and agree that:

  • We do not control and are not responsible for the content, availability, or practices of third-party websites
  • Third-party websites may change, become unavailable, or block access at any time
  • You are solely responsible for ensuring your monitoring activities comply with the terms of service of the websites you monitor
  • We are not liable for any claims arising from your monitoring of third-party websites
  • Monitoring results depend on the structure and content of the target webpage, which may change without notice

9. Service Availability and Modifications

NO UPTIME GUARANTEE: We strive to provide reliable service but make NO GUARANTEES OR WARRANTIES about service availability, uptime, or functionality. We expressly disclaim any implied or express warranties of continuous, uninterrupted, or secure access to the Service.

You acknowledge and agree that:

  • Watchers may experience delays, failures, or missed checks at any time
  • Monitoring functionality may be degraded, interrupted, or unavailable due to factors including but not limited to: internet connectivity, third-party website changes, server issues, software bugs, maintenance, updates, or technical problems
  • We do not guarantee any specific uptime percentage or service level
  • Your watchers may stop functioning without notice
  • You are solely responsible for implementing backup solutions if monitoring availability is critical to your business
  • We are not liable for any business losses, damages, or consequences resulting from missed checks or service interruptions

We reserve the right to, at any time and without liability:

  • Modify, suspend, or discontinue any part of the Service, temporarily or permanently
  • Change pricing and credit costs with reasonable notice
  • Update these Terms of Use at any time
  • Perform maintenance that may affect availability
  • Limit or restrict access to features or functionality
  • Terminate the Service entirely

IMPORTANT: Do not rely on MightyWatcher as mission-critical infrastructure. We provide the Service on a best-effort basis only.

10. Termination

We may suspend or terminate your account if:

  • You violate these Terms of Use
  • You engage in fraudulent activity
  • Your account has been inactive for an extended period
  • Required by law or legal process

You may terminate your account at any time by contacting us. Upon termination:

  • Your right to use the Service ceases immediately
  • Remaining included plan credits are forfeited; unused top-up credits are non-refundable
  • Your watchers will stop checking
  • We will retain your data for 30 days following termination, during which you may contact us to request an export of your content
  • After the 30-day retention period, your data — including watchers, scrape history, and account information — will be permanently deleted
  • We are not obligated to retain or provide access to your data after the retention period

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MightyWatcher SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, OR OTHER INTANGIBLE LOSSES RESULTING FROM:

  • Your use or inability to use the Service
  • Any unauthorized access to or use of our servers and/or personal information
  • Any interruption or cessation of the Service
  • Any bugs, viruses, or other harmful code
  • Any errors or omissions in any content, including AI-generated analysis
  • Missed checks, delayed notifications, or false positives/negatives from AI analysis

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT YOU PAID TO MightyWatcher IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED CANADIAN DOLLARS (CAD $100.00).

13. Indemnification

You agree to indemnify, defend, and hold harmless MightyWatcher and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from:

  • Your use of the Service, including any actions taken based on AI-generated analysis
  • Your monitoring of third-party websites
  • Your violation of these Terms
  • Your infringement of any intellectual property or other rights of any third party
  • Any claim arising from your use of scraped data or screenshots

14. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Province of Saskatchewan and the federal laws of Canada applicable therein, without regard to conflict of law provisions.

Any dispute arising out of or relating to these Terms or the Service shall be resolved as follows:

  • Informal Resolution: Before initiating any formal proceedings, you agree to contact us at support@mightywatcher.com and attempt to resolve the dispute informally for at least 30 days
  • Jurisdiction: If informal resolution is unsuccessful, any legal action or proceeding shall be brought exclusively in the courts of the Province of Saskatchewan, Canada, and you consent to the jurisdiction of such courts
  • Class Action Waiver: You agree that any dispute resolution proceedings will be conducted on an individual basis and not as part of a class, consolidated, or representative action

16. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes via email or through the Service. Your continued use of the Service after such modifications constitutes acceptance of the updated Terms.

17. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable, or if modification is not possible, severed from these Terms. The remaining provisions shall continue in full force and effect.

18. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and MightyWatcher regarding your use of the Service, and supersede all prior and contemporaneous agreements, proposals, or representations, written or oral, concerning the Service.
